Now we are presenting Investor Accounting System for all business users. This is a dream come true. This is software that was born out of our own needs and is now available to you for your own Share Trading & Broking in which features includes Document Management, Communication management,, Invoice management & security Management for all users in Shares, Transfer, Trading & Broking Companies. Investor Accounting System (IAS) contains majority of the services the system provides. It is not only to handle security transactions, but also provides document management, communication, Print and security management tools. Services in the namespace provide essential functionalities for day-to-day activities to transfer agent in various markets. Each module within this namespace is broken down to small processes to accommodate different security transaction process requirements in various agencies. Modules in Investor Account System provide all the web services to client application. • Document Management: This module contains services to handle investor, broker, and issuer documents and to link documents to tasks. System users have the ability to upload and attach documents to any tasks including transactions (all actions performed in the system are defined as tasks and have corresponding TaskIDs in the database, more on that on the database structure topic). Physical document location can be specified in the system configuration. Documents are searchable by task ID, issuer, date, etc. • Print Management Module: Services to handle certificate, invoice, statement and check printing. The services in this module return printing parameters. These printing parameters dictate how the printout looks and how it is laid out. o Certificate Printing is to provide printing parameters for each type of certificate in each company. Since different companies design their certificate layout differently, certificate information will be printed on physical certificate differently for each company. For each company, transfer agent will define print parameters and save them onto database. o Invoice Printing is to provide what information to be printed on invoices. These include the layout of the invoices, whether to include transfer agent logo and contact information and so on. There will be pre-defined templates for the transfer agent to follow. o Statement Printing is to provide printing parameters for statement. Client application will decided what to print and how to arrange information based on these parameters. o Check Printing provides the parameters for printing checks to a dividend. Each set of checks should have corresponding printing parameters entered by the users. • Corporate Action Management Module: Services to handle various corporate actions, including annual shareholder meeting, dividend distribution and forward/reverse split. o Annual Meeting is to provide tools for creating and managing annual meeting requests. These items should include the time the meeting is taking places, shareholder record date and security types (to determine which shareholders are eligible for the meeting). For each meeting, there always are proposals, and sub-proposals. o Dividend Distribution is to provide tools handling both stock dividend and cash dividend distributions. Cash Dividend services allow multiple payout method from check to bank transfer. Agent can pre-defined these payout methods during system configuration or add them in the future as needed. o Forward/Reverse split is to provide tools dealing with stock splits. Such request requires a Package entry/Tracking process and Verification process. • Communication Management: It contains services that allow efficient inter-office communication. This communication provides convenient tools for inter-office users to exchange ideas, to discuss issues and to share documents. • Invoice/Statement Management: They are services that allow agent/users to create, track and modified invoices and statements. Agents who do not need to create invoices for each task or transaction have the option not to call this module. Every request from issuer/shareholder is defined as task. Transactions are tasks, annual meetings requests are task, dividend distributions are task, and stock splits are task. Each of these tasks has task types (of course, the task types are transaction, annual meeting, dividend, forward split, reverse split, etc.) and corresponding task IDs. For US transfer agents, most of these tasks are billable. Invoices record created should reference a task ID. This module also allows agents to define invoices type and the respective fees. • User Security Management Module: Services to handle security functions and restrict user access to records based on user security levels. • Securities Transfer Services, Conversion, Retirement, Mass Conversion & Mass Retirement, Loss Certificate: o Transfer: The procedure by which ownership of a stock moves from one party to another. The system follows a detailed, series of steps governed by the SEC to ensure that a transaction has been completed. o Conversion & Mass Conversion: Conversion of securities is defined as Conversion of Bonds, Units Preferred Stock or notes which are convertible at the option of the holder are exchangeable under some terms and conditions in at the present time or future time to any other type of Security issued by the Corporation. Mass Conversion option allows conversion for entire security. o Retirement & Mass Retirement: Cancellation of the Shares and re-crediting it to Treasury account. This has effect of increasing the Number of Outstanding shares and reducing the Issued shares. Mass Retirement option allows retirement (cancellation) for entire security.
